Governing for an ethical and transparent organization requires both legal compliance with relevant federal and state laws, compliance with IRS regulations, and the adoption of a wide variety of important policies and practices. Some of this work means making sure that the leaders of your nonprofit organization – both on the staff and on the Board – understand and comply with the laws and IRS regulations that require ethical conduct and transparency. 

Examples include the laws and IRS regulations dealing with the proper handling of conflicts of interest, prohibited private inurement, improper private benefit, excess benefit transactions, self-dealing, and a host of other related legal topics. Some of this work to ensure more ethical and transparent organizations goes beyond complying with laws and regulations and requires groups to adopt and implement a variety of best management policies and practices. These include the adoption of an organizational code of ethics, and the adoption and implementation of a wide variety of policies requiring such things as the use of measures to prevent theft and embezzlement, the disclosure and approval of conflict of interest transactions by employees, the proper management of restricted funds, the disclosure of information regarding the organization’s financial affairs and its programs and activities, and many other related topics.

In this presentation we will review many of the laws, regulations, policies and best management practices that can help you and your organizations operate in a more ethical and transparent manner. We’ll start with some of the simpler topics and work our way to some of the more complex or nuanced ones.

About the Presenter

David Atkin, Director and Attorney, Center for Nonprofit Law

 

David Atkin is the founder and director of the Center for Nonprofit Law, a law office that works exclusively for nonprofit organizations. David has been deeply involved in serving the nonprofit sector for over 40 years. His law office has been providing specialized legal services exclusively for nonprofit organizations for nearly 30 years, and it currently serves as the legal counsel for more than a thousand nonprofit organizations. David is a recognized expert on nonprofit law and was recently honored for his expertise by being selected to be the first and Founding Chair for the Oregon State Bar’s new legal section on “Nonprofit Organizations Law.” David regularly presents seminars and workshops on nonprofit law topics to a wide variety of nonprofit organizations and audiences all around the country, including seminars for the attorneys and CPAs who advise them.
