Here are instructions for registering as a foreign nonprofit entity in Oregon.

If a nonprofit was incorporated outside of Oregon and will be conducting nonprofit business in Oregon, they need to fill out a Certificate / Application of Authority for conducting its tax-exempt activity outside its incorporated state.

  1. File the Application for Authority with the Oregon Secretary of State (SOS) Foreign Nonprofit Corporation Registration to be authorized to do business in Oregon.
  2. On the Application for Authority, you provide a Registry Number from your home jurisdiction. If your state does not provide the Registry Number online, you must attach an official certificate of existence, current within 60 days of delivery to the Oregon SOS office.
  3. Before soliciting contributions or conducting affairs in Oregon, your foreign nonprofit will need to register with the Oregon Department of Justice (DOJ) by filing the Registration Form for Corporations.
  4. Organizations that are registered with Oregon DOJ must submit an annual report, due within four months and 15 days after the end of your foreign nonprofit’s accounting period.
